iCentrum Membership Terms & Conditions 


1. Definition and Interpretation

1.1. In these Terms unless the context otherwise requires:

1.1.1. "Additional Assistance" means the assistance provided to companies that is chargeable.

1.1.2. "Equipment" means all equipment and each item and part thereof supplied by iCentrum under the Terms and Conditions of Services and Loan or Hire of Equipment Agreement.

1.1.3. "Events" means any of the activities and events organised by iCentrum and other partner groups for Members.

1.1.4. "iCentrum" means the Advantage West Midlands funded project managed by Birmingham Technology Limited.

1.1.5. "Member" means a company or any of its representatives identified as such in any documentation intending to or having applied for membership of iCentrum upon the terms and conditions contained herein.

1.1.6. "Membership Application Form" means the iCentrum membership application form that companies must complete in order to become Members of iCentrum.

1.1.7. "Membership Fee" means the costs payable by a company to iCentrum in order to complete the process of becoming a Member. The Membership Fee excludes VAT.

1.1.8. "Renewal Fee" means the costs payable by a Member to iCentrum in order to retain iCentrum membership. The Renewal Fee excludes VAT.

1.1.9. "Services" means the services or any part of them including the supply of any Equipment in connection therewith which iCentrum is to provide pursuant to these Terms.

1.1.10. "Standard Assistance" means the assistance provided to Members, currently limited to twenty (20) hours, in the form of technical consultancy, business consultancy, facilitated introductions, use of the Solution Development Laboratory, use of the Demonstration Suite, attendance of Events networking and the amount of time spent in preparation of such assistance.

1.1.11. "Standard Rate" means the cost that iCentrum place on Standard Assistance under term 4.5 of this contract. (Charges are available on request)

1.1.12. "Terms" means the contract subject to these terms between iCentrum and the Member for the duration of the membership and after any termination, cancellation or expiration, as applicable.

1.1.13. "VAT" means Value Added Tax as defined and set by the government of the United Kingdom.


1.2. Headings contained in these Terms are for convenience only and shall not affect interpretation.

 


2. Applications for Membership

2.1. All applications for membership of iCentrum shall be made in writing using the Membership Application Form and completed by the proposed Member. On completion of the Membership Application Form and on payment of the Membership Fee, each new Member will be entitled to the Standard Assistance subject to availability.

2.2. iCentrum reserves the right at all times and in its absolute discretion to determine the number of Members.

2.3. iCentrum reserves the right at all times to expel Members or prevent for any reason any Member from participating in any Event or from renewing Membership.

2.4. Membership automatically reoccurs on an annual basis.

2.5. Membership will commence when the completed Membership Application Form is received by iCentrum.

2.6. Membership is intended for the named company only. Parent or related companies must join in their own right.

 

3. Member Information

3.1. Members must notify iCentrum of any changes to company contact details.

3.2. Members must provide iCentrum with details of any other state aid received within a 3 year period up to the point of membership and any additional aid received throughout the duration of the membership.

3.3. Members will deal with iCentrum and its members in an open and mutually beneficial manner.

3.4. iCentrum and Advantage West Midlands may publicise the fact that companies are members of iCentrum.

3.5. Any plans, proposals, speculations material or other information discussed with a Member or revealed to a Member as part of planning, debating or otherwise participating in the activities of iCentrum will be treated as confidential unless specifically agreed otherwise.

 

4. Annual Membership Fees

4.1. Membership Fees and any VAT are payable in sterling only.

4.2. iCentrum’s charges for annual membership shall be as stated on the Membership Application Form and shall be exclusive of VAT.

4.3. iCentrum reserves the right at all times and in its absolute discretion to alter the Membership Fees without notice but that any alteration shall not retrospective. Alteration to Membership renewal fees shall be given in written notice 30 days before the membership renewal date.

4.4. Invoices will be issued by Birmingham Technology Limited on behalf of iCentrum and all cheques should made payable to Birmingham Technology Limited.

4.5. Members shall pay the Membership Fee and any VAT without deduction within 30 days of the date of the invoice from iCentrum, unless otherwise stated in writing by iCentrum. Time shall be of the essence in respect of all payments due under these Terms which shall be treated as paid on the date that iCentrum obtains the Membership Fee and shall be paid without any deduction, set-off or counterclaim whatsoever. Any payment by post shall be at the sole risk of the Member. All queries regarding the invoice from iCentrum shall be notified in writing to iCentrum no later than 14 days from the date of invoice. The existence of a query in respect of any individual item in an invoice shall not affect the due date for payment of the balance of the invoice.

4.6. If the Member fails to pay any sum on due date then, without prejudice to any other right or remedy, iCentrum may: cancel this contract; suspend provision of Services; charge for Services and Equipment supplied under Standard Assistance at the Standard Rate; remove Equipment from the Members premises; appropriate any payment by the Member to such services supplied to the Member as iCentrum thinks fit (notwithstanding express appropriation by Member); and/or charge interest on amount for the time being unpaid at Standard Rate.

 

5. Entitlement

5.1. Upon joining iCentrum, Members will be entitled to Standard Assistance from iCentrum subject to the amount assistance that the Member has received from other bodies within the previous three years as per the European Commission’s de minimis regulation on state aid currently amounting to €200,000, approximately £125,000 (Regulation 69/2001). Any Additional Assistance will be charged at rates set by iCentrum. (Charges available on request).

5.2. iCentrum reserves the right at all times and in its absolute discretion to determine the amount of time that Members will receive under Standard Assistance so long as it conforms to Regulation 69/2001.

5.3. iCentrum reserves the right at all times in its absolute discretion to determine the amount of free assistance a Member will receive in addition to the Standard Assistance.

5.4. iCentrum reserves the right at all times in its absolute discretion to charge a fee for Additional Assistance once Member has exceeded the 20 hours of Standard Assistance or if assistance is deemed by iCentrum to be outside of the projects contracted core deliverables.

5.5. iCentrum reserves the right at any time, to increase the charges for Additional Assistance.

 


6. Membership Renewal

6.1. Membership will automatically renew upon the Terms and Conditions effective from the time of renewal. iCentrum will notify Members 30 days before the membership expiry date with notice of fees and the number of hours and type of assistance the Member has received.

6.2. Membership renewal can be cancelled by giving 14 days written notice prior to the renewal date as specified by iCentrum.

6.3. Upon renewal of Membership and payment of the Renewal Fee, the Member will be entitled to the Standard Assistance subject to availability and so long as this conforms to the European Commission Regulation 69/2001.

 

7. Termination of Membership

7.1. Either party may terminate this agreement by giving to the other thirty (30) days written notice.

7.2. No refund will be made on resignation for membership fees received.

7.3. iCentrum reserves the right to terminate membership at anytime if:

7.3.1. The Member fails to make payment of membership fees within 30 days under clause 3.4.

7.3.2. The Member have an interim or bankruptcy order made against them or Member petition for bankruptcy, or are served with a creditor’s demand under the Insolvency Act 1986.
